Queen Lake Association By-Laws

Approved at Special Queen Lake Association Meeting on August 14, 2010 ( 24 yes – 4 no)

ARTICLE I: Name:

This organization shall be called the “Queen Lake Association”.

ARTICLE II: Purpose:

The primary purpose of this Association shall be to promote the best interests of Queen Lake.

ARTICLE III: Officers/Directors/Committees:

Section 1:
The Officers and Directors shall be members and consist of a President, Vice- President, Secretary, Treasurer and nine Directors and shall constitute the Executive Board.

Section 2
These Officers and Directors shall be elected at the Annual Association meeting, by a majority of voting members in attendance. These Officers shall assume their duties at once and shall hold office until their successors are duly chosen.

Section 3:
The President, vice-President, Secretary and Treasurer shall be elected for one year; the directors for three years, three of these whom shall be elected each year.

Section 4: All officers on retiring from office shall immediately deliver to their successors all money, accounts, record books or other property belonging to the Association.

Section 5: The Nominating Committee shall be composed of three members appointed by the Executive Board. .

ARTICLE IV: Duties of Officers:

Section 1: The President shall preside at all meetings and conduct them by Robert’s Rules of Order, shall be Chairman of the Executive Board and shall appoint all committees not otherwise provided for. In case of his/her absence these duties shall be performed by the Vice-President.

Section 2: The Executive Board shall transact the regular business of the Association and shall fill any vacancy that may occur in the Association during their term of office. Such temporary appointees shall serve until the next Association meeting.

Section 3: The Secretary shall keep a record of meetings of the Association and conduct the correspondence of the Association.

Section 4: The Treasurer shall receive, hold and pay out all Association money subject to the approval of the Queen Lake Association and/or the Executive Board and shall keep a record of all such transactions.

ARTICLE V:

MEMBERSHIP and VOTING:

Any person owning real property with deeded access to Queen Lake shall be eligible for Voting
Membership. Such votes may be exercised by written proxy.
Any other person having an interest in improving Queen Lake may become a non-voting
Associate Member.

ARTICLE VI: DUES:

Amount of Annual dues shall be established by the members and shall be payable on joining the Association and at the Annual Meeting of the Association thereafter.

ARTICLE VII: MEETINGS:

The Annual Meeting will usually be held on the second Saturday in July at a time and place to be established by the Executive Board. Special meetings may be called by the President or the written request of five members. The Executive Board shall meet at the call of the President.

ARTICLE VIII: QUORUM:

Seven (7) members shall constitute a quorum for the Executive Board.
Fifteen (15) voting members shall constitute a quorum for the transaction of business at a meeting of the Association.

ARTICLE IX: AMENDMENTS:

The By-Laws may be amended at the Annual or Special Meeting of the Association by a 2/3 vote of the voting members present, the amendment having been proposed in writing at a previous meeting or by written notice to members in good standing at least two weeks in advance.
